Terms of Use

In short: SeekerClaw is free, open-source software provided "as is", with no warranty of any kind. It runs on your own device under your control, including an autonomous AI agent and optional cryptocurrency features that you choose to enable at your own risk. You are solely responsible for how you use the App and for every outcome of that use — including any loss of funds. To the maximum extent permitted by law, the Developer accepts no responsibility or liability whatsoever for any loss or damage arising from your use of the App. The full terms below explain this in detail.

1. Acceptance of These Terms

These Terms of Use ("Terms") are a binding agreement between you ("you" or "user") and Beka Zakaidze ("we", "us", or the "Developer"), the developer of SeekerClaw (the "App"). By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not install or use the App.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the App. By using the App, you represent and warrant that you meet this requirement and that your use of the App does not violate any law or regulation applicable to you.

3. What SeekerClaw Is

SeekerClaw is an open-source AI agent that runs entirely on your own Android device (built for Solana Seeker). You configure it with your own AI provider API keys and connect it to messaging channels such as Telegram or Discord. Once configured, the agent can hold conversations, remember context, run scheduled tasks, use device features you grant it, and — where you enable it — interact with the Solana blockchain on your behalf.

SeekerClaw is a self-hosted software tool. We do not operate a backend service, hold your data, or execute actions on your behalf from our own servers. Everything runs on your device under your control and configuration.

4. Not Financial, Investment, Legal, or Tax Advice

SeekerClaw can surface market data and, where you enable it, execute blockchain transactions. Nothing produced by the App is financial, investment, legal, accounting, or tax advice. The App does not act as a broker, dealer, exchange, financial advisor, or custodian. Any output from the AI agent, including market commentary or suggested actions, is generated automatically and may be inaccurate, incomplete, or wrong. You are solely responsible for evaluating any decision and should seek independent professional advice before acting.

5. Wallets and Custody — You Control Your Keys

SeekerClaw is non-custodial. We never take custody of, control, or have access to your funds.

  • Primary wallet (Seed Vault). When you use your device's Solana wallet through the Seeker Seed Vault hardware security module, your private keys and seed phrase are managed by Seed Vault and never leave the hardware enclave. The App requests signatures but cannot read your keys.
  • Experimental burner wallet. The App includes an optional, experimental "burner wallet" feature for autonomous trading. To use it, you import a private key that you provide. That key is stored locally on your device so the agent can sign transactions automatically. This feature is beta and provided for experimentation only. A key held this way is far less secure than Seed Vault. Do not import a key holding funds you cannot afford to lose, and never import your main wallet's key. Fund a burner wallet only with small, disposable amounts.

You are solely responsible for safeguarding your device, your keys, your seed phrases, and any credentials you enter into the App. Loss of your device or keys may result in the irreversible loss of your funds.

6. Autonomous Agent Behavior

SeekerClaw can act autonomously — for example, running scheduled jobs, monitoring your wallet, and, where you enable trading, placing swaps, limit orders, or recurring buys through third-party protocols such as Jupiter. You acknowledge and agree that:

  • The agent executes actions based on your instructions, your configuration, and automated AI reasoning that can be unpredictable or produce unintended results.
  • You are responsible for every action the agent takes on your behalf, including every transaction it signs and broadcasts.
  • Blockchain transactions are final and irreversible. Neither we nor anyone else can reverse, cancel, or refund a transaction once it is submitted.
  • You should test with small amounts and review your automation and permissions before enabling autonomous actions that move funds.

You accept full and sole responsibility for every outcome of the agent's autonomous actions, including any loss of funds, and you irrevocably release, waive, and agree not to hold the Developer liable for any such loss. The agent is a tool that runs under your own configuration and control; its behavior is automated and non-deterministic, and the Developer does not direct, supervise, monitor, or guarantee any action it takes or any result it produces.

7. Assumption of Risk

You use SeekerClaw at your own risk. Interacting with cryptocurrencies, decentralized protocols, and AI systems involves significant risk, including but not limited to:

  • Extreme price volatility and the potential total loss of funds;
  • Bugs, exploits, or failures in smart contracts and third-party protocols (e.g., Jupiter) that the App interacts with;
  • Errors, "hallucinations", or unexpected behavior from AI models;
  • Network congestion, downtime, failed or stuck transactions, and slippage;
  • Loss or theft of keys, tokens, or credentials due to malware, phishing, or device compromise;
  • Regulatory or legal changes affecting digital assets in your jurisdiction.

You accept all of these risks and agree that we are not liable for any resulting loss.

8. Third-Party Services

SeekerClaw connects to third-party services that you configure, including AI/LLM providers (e.g., Anthropic, OpenAI, OpenRouter, or others), the Jupiter DEX API, Solana RPC providers, and messaging platforms (Telegram and Discord). You provide your own API keys, bot tokens, and credentials for these services. Your use of each service is governed by that provider's own terms and privacy policy, and we are not responsible for their availability, security, accuracy, fees, or conduct. You are responsible for any costs those providers charge you.

9. Your Responsibilities and Acceptable Use

You agree to use the App only for lawful purposes and in compliance with all applicable laws, regulations, and sanctions, as well as the Solana dApp Store Publisher Policy and the terms of any third-party service you connect. You agree that you will not:

  • Use the App for any illegal activity, including money laundering, terrorist financing, fraud, or evading sanctions;
  • Use the App to send unsolicited, harassing, deceptive, or harmful communications, or to violate the rights of others;
  • Use the App's device access (such as SMS, calls, contacts, camera, or location) to harm, surveil, or violate the privacy of any person without their consent;
  • Attempt to use the App to gain unauthorized access to any system, account, or data;
  • Reverse engineer or misuse the App in violation of applicable law or the App's open-source license.

You are responsible for how you configure and operate your own instance of the App and for all activity carried out through it.

10. Intellectual Property and Open-Source License

SeekerClaw is open-source software released under the MIT License. Your rights to use, copy, and modify the source code are governed by that license, described on the License page. These Terms govern your use of the App as an end user and are in addition to the MIT License. "SeekerClaw" and associated logos are the property of the Developer; third-party names and trademarks belong to their respective owners, as noted on the Copyright page.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, secure, error-free, or that it will meet your requirements or produce accurate results. You use the App at your own discretion and risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, FUNDS, CRYPTOCURRENCY, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE APP — INCLUDING ANY LOSSES RESULTING FROM BLOCKCHAIN TRANSACTIONS, AUTONOMOUS AGENT ACTIONS, THE EXPERIMENTAL BURNER WALLET, OR THIRD-PARTY SERVICES. BECAUSE THE APP IS FREE, OPEN-SOURCE SOFTWARE, THE DEVELOPER'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED USD 100.

13. Indemnification

You agree to indemnify and hold harmless the Developer from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use or misuse of the App, your violation of these Terms, your violation of any law or third-party right, or any transaction or action carried out through your instance of the App.

14. Termination

You may stop using the App at any time by uninstalling it and clearing its data. We may discontinue or modify the App at any time. Sections that by their nature should survive termination — including risk assumption, disclaimers, limitation of liability, and indemnification — will continue to apply after you stop using the App.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version on this page and update the "Last updated" date above. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of Georgia, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the App shall be subject to the jurisdiction of the competent courts of Georgia, to the extent permitted by applicable law.
